Terms of Service

These Terms of Service (the “Terms”) govern your use of AskBud Marketplace, operated at market.askbud.io (the “Service”) by askbud io LLC, a Wyoming limited liability company (“AskBud,” “we,” “us”). By creating an account or using the Service you agree to these Terms and to our Privacy Policy.

1. Who the Service is for

The Service is a business-to-business software service for licensed cannabis industry participants. It is for business use only, and you must be at least 21 years old. By using the Service you represent that you act on behalf of a business and that, where licensure is required for your activity, your business holds a valid license from the Oregon Liquor & Cannabis Commission (OLCC) or the applicable licensing authority in your state, and that the license is and remains in good standing.

2. What the Service is — and is not

The Service is a listings and communications platform. It lets licensed sellers publish wholesale listings and lets licensed buyers browse those listings and contact sellers directly.

No cannabis products are bought, sold, or transacted through the Service. All product transactions occur directly between licensed parties, off-platform, under applicable law — including all regulatory transfer, manifest, and tracking requirements. AskBud is not a party to, broker of, or payment processor for any product transaction, takes no commission on any transaction, and never takes title to, possession of, or custody of any cannabis product.

3. Accounts and license verification

Accounts are provided through our authentication provider. You are responsible for safeguarding your credentials and for activity under your account. Verification of licensure is performed via the Metrc state track-and-trace system: by submitting a Metrc user API key you authorize us to use it to verify your association with the license you claim, at verification time and periodically thereafter. 4. Subscriptions and billing

Launch period. During our launch period, publishing listings to the public marketplace is free. Paid plans ($50 per month) will begin later. We will give sellers at least 30 days' notice before any charges begin, and continuing on a paid plan requires your explicit opt-in — there is no automatic conversion, no payment card is collected during the launch period, and nothing is charged unless you actively subscribe.

Sellers warrant that their listings are accurate, current, and lawful, and that they have the legal right to offer what they list. We may remove content or suspend or terminate accounts for violations of these Terms — including lapsed or invalid licensure, misrepresentation, or unlawful content — with or without prior notice where the violation is serious.

6. Acceptable use

You agree not to misuse the Service — including scraping or harvesting data, misrepresenting your identity or licensure, interfering with the Service’s operation, or using it for any unlawful purpose.

7. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT LISTINGS ARE ACCURATE OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASKBUD’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE IS CAPPED AT THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA.

9. Indemnification

You will indemnify and hold AskBud harmless from claims arising out of your listings, your product transactions with other users, your breach of these Terms, or your violation of law — including licensure requirements.

10. Changes

We may modify the Service or these Terms; for material changes to the Terms we will give notice (for example by email or an in-product notice) before they take effect. Continued use after the effective date constitutes acceptance.

11. Governing law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules.
